Freshly Maid is a trade name operated by TiposIt Holdings LLC (DBA Freshly Maid) (“Freshly Maid,” “we,” or “us”).
1. Independent contractor relationship
You are an independent contractor, not an employee, partner, agent, or joint venturer of Freshly Maid. Nothing in this Agreement creates an employment relationship. You control how, when, and whether you accept and perform jobs, subject to the quality and safety standards described here. You are free to provide similar services to others, including through other platforms. [Worker classification is legally sensitive and varies by state. Your attorney must confirm that this independent-contractor model complies with the law in each state where Maids operate.]
2. Services
You agree to provide bed-making, linen-refresh, and related services that you choose to accept through the Platform, in a professional, timely, and workmanlike manner, consistent with any service description and the reasonable expectations of the Client.
3. Eligibility, background checks, and verification
Before you can appear in search or accept jobs, you must complete identity verification and a criminal background check through our third-party screening provider, and you must pass according to our standards. You consent to recurring re-screening (currently approximately every 90 days). You agree to keep your profile, service area, and availability accurate. We may suspend or remove you if you fail screening or no longer meet our standards.
4. Payment, commission, and payouts
For each completed job, Freshly Maid retains a platform service fee of twenty-five percent (25%) of the service price, and you receive the remaining seventy-five percent (75%). Payouts are made to your connected Stripe account after the job is marked complete and funds have settled. You are responsible for maintaining accurate payout information. You agree not to solicit or accept off-platform payment to circumvent the platform fee.
5. Taxes
As an independent contractor, you are solely responsible for all taxes on your earnings, including self-employment taxes. Freshly Maid does not withhold taxes. Where required, we (or our payment provider) will issue an IRS Form 1099 or equivalent. You agree to provide accurate tax information when requested.
6. Your equipment and expenses
Except where a Client provides linens or supplies, you are responsible for your own supplies, transportation, and any costs of performing services.
7. Conduct and standards
You agree to:
- treat Clients, their homes, and their belongings with care and respect;
- arrive on time, communicate promptly, and follow the job's agreed scope;
- comply with all applicable laws and with our Terms of Service and policies;
- not discriminate, harass, or engage in any unsafe or unlawful conduct; and
- not misrepresent your identity, qualifications, or the work performed.
8. Confidentiality and privacy
You will treat Client information — including addresses, access details, and anything you observe in a Client's home — as confidential, and use it only to perform the job. You will not photograph or share a Client's home or belongings except job photos taken through the Platform for the purpose of documenting the service.
9. Insurance
You are responsible for determining whether you need your own insurance for your services and for maintaining any coverage required by law. [Confirm with your attorney and insurance broker what coverage Freshly Maid carries, what Maids must carry, and how this clause should read.]
10. Term and termination
This Agreement begins when you complete onboarding and continues until terminated. Either party may terminate at any time. We may suspend or terminate your access immediately for violations of this Agreement, our Terms, failed screening, or conduct that we reasonably believe presents a safety or fraud risk. Sections that by their nature should survive (including payment obligations, confidentiality, indemnification, and limitation of liability) survive termination.
11. Liability and indemnification
You are responsible for your own acts and omissions in performing services. To the fullest extent permitted by law, you agree to indemnify and hold harmless Freshly Maid from claims, damages, and expenses arising out of your services, your conduct, or your breach of this Agreement. Freshly Maid's liability to you is limited as described in our Terms of Service.
12. Governing law
This Agreement is governed by the laws of the State of Texas, and incorporates the dispute-resolution terms of our Terms of Service.
